RADLEY YOUTH F.C.

CONSTITUTION

1          Name

 

   1.1       The Club is called Radley Youth Football Club.

 

2           Object        

 

2.1              The object of the club shall be to arrange association football matches both  

Friendly and competitive for all children who wish to join the club and are prepared to abide by its rules and codes of conduct.

 

3                     Status of Rules

 

3.1              The rules form a binding agreement between the Club’s members, renewed annually via the Club’s registration process.

 

4                    Rules and regulations

 

4.1              The Club is affiliated to The Football Association by virtue of its affiliation to the Berks and Bucks Football Association. The rules and regulations of The Football Association Limited and the Berks and Bucks Football Association are deemed to be incorporated into the Club’s rules.  The Club also abides by the rules and procedures of any leagues or competitions in which it takes part.

4.2              No alteration to the club rules shall be effective without agreement of the clubs committee at a general, annual or special general meeting.

4.3              The club will abide by the Football Association’s child protection policies and procedures, the equal opportunities and anti – discrimination policies and also the Radley codes of conduct.

 

5                    Club Membership   

 

    5.1       The members from time to time shall be those persons listed in the register

                of members ( the membership register) which shall be maintained by the    

                club secretary.

5.2              Any person who wishes to be a member must apply on the membership    

application form and deliver it to the club. Membership shall become

effective upon the applicant’s name being entered in the membership register.

5.3              In the event of a member’s resignation or expulsion, his or her name shall

            be removed from the membership register.

5.4              The Football Association and the Berks and Bucks Football association      shall be given access to the membership register on demand.

5.5              The committee at the annual general meeting shall, when appropriate, appoint life membership to worthy individuals who will subsequently not have to pay an annual membership fee.

 

 

 

6                    Annual Membership Fee

 

    6.1        An annual fee payable by each member shall be determined from time to 

                 time by the club committee. Any fee shall be payable on a successful         

                 application for membership and annually by each member. Fees shall not 

                 repayable.

6.2              The club committee shall have the authority to levy further subscriptions

from members as are reasonably necessary to fulfil the objects of the club.

 

7          Resignation and Expulsion         

 

7.1              A member shall cease to be a member of the club if, and from the date on

which, he/she gives notice to the club committee of their resignation.

7.2              The club committee shall have the power to expel a member when, in their

opinion, it would not be in the best interests of the club for them to remain a member. There shall be no appeals procedure.

7.3              A member who resigns or is expelled shall not be able to claim any, or a

share of any, of the club property.

 

8                    Club Committee

           

8.1              The club committee shall consist of the following club officers :- Chairperson, Vice Chairperson, Secretary, Treasurer, Fixture Secretary and Child Protection Officer. Each team manager shall also be deemed to be a member of the committee.

8.2              Each club officer and club committee member shall hold office from the date of appointment until the next annual general meeting unless otherwise resolved at a special general meeting. One person may hold no more than two positions of club officer at any time. The club committee shall be responsible for the management of all the affairs of the club. Decisions of the club committee shall be made by a simple majority of those attending the club committee meeting. The chairperson of the club committee meeting shall have a casting vote in the event of a tie. Meetings shall be chaired by the Secretary or in their absence the Chairperson.

8.3              Decisions of the club committee shall be recorded and maintained by the club secretary.

8.4              Any member of the club committee may call a meeting of the club committee by giving not less than 7 days’ notice to all members of the club committee.

8.5              An outgoing member of the club committee may be re-elected. Any vacancy on the club committee which arises between Annual General Meetings shall be filled by a member proposed by one and seconded by another of the remaining club committee members and approved by a simple majority of the remaining club committee members.

8.6              Save as provided for in the rules and regulations of The Football Association and the Berks and Bucks Football Association the club committee shall have the power to decide all questions and disputes arising in respect of any issue concerning the club rules.

8.7              The club committee normally meets monthly and must meet at least six times a year. The quorum for the transaction of business of the club shall be six.

8.8              The committee officers have delegated authority to make decisions on the clubs behalf on urgent matters or between committee meetings.

 

 

9                    Annual and Special General Meeting 

 

9.1              An Annual General Meeting (AGM) shall be held in each year to :-

(i)          receive a report of the club over the previous year.

(ii)receive a report of the club’s finances over the previous year.

(iii)               elect the members of the club committee.

(iv)              elect life members.

(v)                consider any other business.

9.2              Nominations for election of members as club officers or as members of the      

committee shall be made by a proposer and seconder, both of whom must be existing committee members of the club. Notice of any resolution to be proposed at the AGM shall be given in writing to the club secretary not less than 7 days before the meeting.

9.3              A Special General Meeting (SGM) may be called at any time by the

committee and shall be called within 21 days of the receipt by the club secretary of a requisition in writing signed by not less than 5 members stating the purpose for which the Meeting is required and the resolutions proposed. Business at an SGM may be any business that may be transacted at an AGM.

9.4              The secretary gives notice of the date of a general meeting together with

the resolutions proposed, prepares and issues agendas and records decisions and minutes.

9.5              The quorum for a general meeting shall be eight

9.6              The Secretary or in their absence a member selected by the club committee shall take the chair. Each member present shall have one vote and resolutions shall be passed by a simple majority. In the event of an equality of votes the Chairperson of the meeting  shall have a casting vote.

 

10                Club Teams

 

10.1          The committee approves the appointment of a manager of any new teams or when a vacancy arises for existing teams. The appointed member shall be responsible for managing the affairs of the team.

 

11         Club Finances

 

11.1            A bank account shall be opened and maintained in the name of the club

( the club account). Designated account signatories shall be the Club Secretary and the Club Treasurer. All monies payable to the club shall be received by the Treasurer and deposited in the Club account.

11.2            The income and assets of the Club ( the Club property ) shall be applied 

only in furtherance of the objects of the Club.

   

11.3            The Club committee shall have the power to authorise the payment of

Remuneration and expenses to any member of the Club and to any other person or persons for services rendered to the Club.

11.4            The Club shall prepare an annual financial statement.

11.5            The Club property, other than the Club account, shall be vested in the current Club committee officers as custodians who shall deal with the Club property as directed by decisions of the Club committee.

11.6            The custodians shall be entitled to recover from the Club any reasonable

expenses reasonably incurred by them in carrying out their duties. These must be authorized by the Secretary and Treasurer ( or Chairperson and Vice Chairperson acting in their absence ).

 

12                  Complaints Procedure

  

12.1            In the event that any member feels that he or she has suffered

discrimination in any way or that the club rules or codes of conduct have been broken they should follow the procedures below :-

 

                  They should report the matter to the Club Secretary or another committee

                  member .

                  The report should include :-

(i)                  Details of what, when and where occurrences took place.

(ii)                Any witness statements and names.

(iii)               Names of any others who have been treated in a similar way.

(iv)              Details of any former complaints made about the incident, date, when and to whom made.

(v)                A preference for a solution to the incident.

12.2            The Clubs committee officers will sit for any hearings that are requested.

12.3            The Club’s committee officer’s will have the power to :-

(i)                   Warn as to future conduct.

(ii)                 Suspend from membership.

(iii)                Remove from membership.

                   any person found to have broken the Club’s rules or codes of conduct.

 

13                  Dissolution

 

13.1            A resolution to dissolve the Club shall only be proposed  at a General meeting  and shall be carried by a majority of at least three–quarters of

The members present.

13.2            The dissolution shall take effect from the date of the resolution and the

members of the club committee shall be responsible for the winding up of the assets and liabilities of the club.

13.3            Any surplus assets remaining after the discharge of the debts and liabilities

of the Club shall be transferred to the parent association who shall determine how the assets shall be utilized for the benefit of the game.
